General Provisions
These terms apply to quotations, purchase orders, project communication, and production work provided by ZigiTech. Any inconsistent or additional customer-side terms apply only if they are expressly accepted in writing by ZigiTech.
Project files, drawings, pricing, and feasibility feedback are prepared based on the information supplied by the customer. If critical manufacturing or compliance information is omitted, ZigiTech reserves the right to update scope, timing, or pricing once that information is clarified.
Quotations and Prices
Quotation basis
Quotations are prepared from the drawings, specifications, quantities, materials, finishes, tolerances, delivery requirements, and other technical information available at the time of review.
Validity and revision
Unless otherwise stated, quotations may be revised when scope changes, uploaded files are updated, hidden requirements are identified, or logistics and raw-material conditions materially change.
Taxes, freight, and duties
Quoted prices may exclude taxes, customs duties, import charges, brokerage fees, or destination-specific handling costs unless a quotation explicitly states otherwise.
Engineering assumptions
Where information is incomplete, ZigiTech may quote using reasonable manufacturing assumptions. Final pricing and timing may be adjusted if the approved production scope differs from the original assumption set.
- Quotations are based on the specific version of the files and requirements received at the time of review.
- Price changes may apply when quantities, tolerances, materials, finishes, inspection scope, tooling requirements, packaging needs, or delivery constraints are changed.
- Lead times begin only after the technical scope, commercial terms, and payment conditions are confirmed.
Payment Terms
Payment obligations are determined by the quotation, invoice, and any approved commercial arrangement. ZigiTech may require advance payment, milestone payment, or full payment before shipment depending on project type, order value, tooling scope, or customer status.
- Production may begin only after required prepayment or deposit conditions are satisfied.
- Tooling, custom fixtures, engineering validation, or sampling milestones may be billed separately from part production.
- Late payment may delay shipment, final documentation release, or future quoting and order acceptance.
- The customer is responsible for all bank charges, currency conversion fees, and destination-side import costs unless otherwise agreed in writing.
- ZigiTech may suspend work on open projects when invoices become overdue.
Quality and Acceptance
ZigiTech will manufacture parts according to the approved drawing package, agreed tolerances, material callouts, finishing requirements, and any confirmed inspection criteria. Unless otherwise agreed, general commercial manufacturing standards apply.
Customers should inspect delivered goods within a reasonable time after receipt and notify ZigiTech promptly if a nonconformity is discovered. Claims should include sufficient documentation to allow review, including relevant photos, measurements, batch details, and the affected quantity.
If a verified quality issue is attributed to ZigiTech, the remedy may include rework, replacement, credit, or another commercially reasonable corrective path determined after technical review.
Intellectual Property and Copyright
The customer remains responsible for ensuring that provided drawings, models, trademarks, specifications, and product designs do not infringe the rights of any third party and may lawfully be manufactured.
Any process know-how, manufacturing method, quotation logic, fixture concept, or internal engineering approach developed by ZigiTech in support of a quotation or order remains the property of ZigiTech unless otherwise agreed in writing.
Buyer Materials, Consigned Goods, and Tooling
If the customer supplies materials, inserts, packaging, tools, or other consigned items, those items must be suitable for their intended use and delivered in a condition that supports production. ZigiTech is not responsible for delays or defects caused by unsuitable customer-supplied items.
Where customer-owned tooling or fixtures are stored, serviced, or used by ZigiTech, reasonable care will be taken. However, normal wear, technical limitations, and lifecycle-related maintenance remain part of the practical manufacturing risk unless otherwise covered by a separate agreement.
Suspension and Termination
ZigiTech may suspend quoting, production, or shipment if payment terms are not met, if required technical approvals are delayed, if project files are materially changed after launch, or if continued performance would violate applicable law or export restrictions.
If an order is cancelled after work has started, the customer may remain responsible for engineering time, completed production, raw material commitments, tooling cost, third-party processing, and any non-recoverable project expense already incurred.
Rights and Obligations of Both Parties
- The customer must provide accurate, complete, and current technical and commercial information needed for quoting and production.
- ZigiTech must communicate material manufacturability, commercial, or timing concerns once identified through the normal review workflow.
- The customer is responsible for final verification that the ordered parts are suitable for the intended product application and regulatory environment.
- ZigiTech is responsible for executing the confirmed manufacturing scope with reasonable professional care and according to the agreed project basis.
- Neither party is liable for delays or failure caused by events beyond reasonable control, including force majeure, supply-chain disruption, export restriction, natural disaster, or major logistics interruption.
- Any dispute should first be addressed through good-faith commercial discussion before either party seeks formal legal remedy.
